This User Agreement along with Terms of Service (collectively, the "User Agreement") forms the terms and conditions for the use of services and products of Mogli Labs Private Limited, Singapore and its subsidiaries/affiliate (hereinafter “DIGIMRO”).

Any person ("User") who inquires about or purchases any products or services of DIGIMRO through its websites, salespersons, offices, call centres, agents, etc. (all the aforesaid platforms collectively referred to as “Sales Channels”) agrees to be governed by this User Agreement.

Both User and DIGIMRO are individually referred to as "Party" and collectively referred to as "Parties" to the User Agreement.

“Terms of Service” available on DIGIMRO's website details out terms & conditions applicable on various services or products facilitated by DIGIMRO.

The User must possess the legal authority to enter into an agreement so as to become a User and use the services of DIGIMRO.

Before using the Website, approaching any Sales Channels, or procuring the services of DIGIMRO, the Users shall compulsorily read and understand this User Agreement, and shall be deemed to have accepted this User Agreement as a binding document that governs User's dealings and transactions with DIGIMRO. If the User does not agree with any part of this Agreement, then the User must not avail DIGIMRO's services and must not access or approach the Sales Channels of DIGIMRO.

All rights and liabilities of the User and DIGIMRO with respect to any services or product facilitated by DIGIMRO shall be restricted to the scope of this User Agreement.

• All content provided through various Sales Channels, including but not limited to audio, images, software, text, icons and similar content ("Content"), are registered by DIGIMRO and protected under applicable intellectual property laws. User cannot use this Content for any other purpose, except as specified herein.

• User agrees to follow all instructions provided by DIGIMRO which will prescribe the way such User may use the Content.

• There are proprietary logos, service marks, and trademarks displayed on the Website and through other Sales Channels of DIGIMRO, as may be applicable. DIGIMRO does not grant the User a license, right, or authority to utilize such proprietary logos, service marks, or trademarks in any manner. Any unauthorized use of the content will be in violation of the applicable law.

• DIGIMRO respects the intellectual property rights of others. If you notice any act of infringement on the Website, you are requested to send us a written notice/intimation which must include the following information;

  • Clear identification of such copyrighted work that you claim has been infringed.

  • Location of the material on the Website, including but not limited to the link of the infringing material.

  • Proof that the alleged copyrighted work is owned by you.

  • Contact information.

• The Website is meant to be used by bonafide User(s) for lawful use.

• User shall not distribute, exchange, modify, sell, or transmit anything from the Website, including but not limited to any text, images, audio, and video, for any business, commercial, or public purpose.

• The User Agreement grants a limited, non-exclusive, non-transferable right to use this Website as expressly permitted in this User Agreement. The User agrees not to interrupt or attempt to interrupt the operation of the Website in any manner whatsoever.

• Access to certain features of the Website may only be available to registered User(s). The process of registration may require the User to answer certain questions or provide certain information that may or may not be personal in nature. Some fields may be mandatory or optional. User represents and warrants that all information supplied to DIGIMRO is true and accurate.

• DIGIMRO reserves the right, in its sole discretion, to terminate access to the Website and the services offered on the same or any portion thereof at any time, without notice, for general maintenance or any other reason whatsoever.

• DIGIMRO will always make its best endeavors to ensure that the content on its websites or other sales channels is free of any virus or other malware. However, any data or information downloaded or obtained through the use of the Website, or any other Sales Channel is done at the User's own discretion and risk. Users will be solely responsible for any damage to their computer systems or loss of data that may result from the download of such data or information.

• DIGIMRO reserves the right to periodically make improvements or changes to its website at any time without any prior notice to the User. Users are requested to report any content on the Website, which is deemed to be unlawful, objectionable, libelous, defamatory, obscene, harassing, invasive to privacy, abusive, fraudulent, against any religious beliefs, spam, or violative of any applicable law in India. On receiving such a report, DIGIMRO reserves the right to investigate and take appropriate action.

• While registering on the Website, the User will have to choose a password to access their account, and the User shall be solely responsible for maintaining the confidentiality of both the password and the account, as well as for all activities on the account. The User must notify DIGIMRO immediately in writing of any unauthorized use of their password or account or any other breach of security.

• User understands that any information provided to this Website may be read or intercepted by others due to any breach of security at the User's end.

• DIGIMRO keeps all data related to credit card, debit card, bank information, etc. secured and in an encrypted form in compliance with applicable laws and regulations. However, for cases of fraud detection, offering sale on credit (finance), etc., DIGIMRO may verify certain User information like credit scores, as required.

• DIGIMRO adopts the best industry standards to secure information as provided by the User. However, DIGIMRO cannot guarantee that there will never be a security breach of its systems that may impact User information.

• The User's data available with DIGIMRO may be shared with concerned law enforcement agencies for lawful or investigative purposes without the User's consent.

• In addition to the product cost, DIGIMRO reserves the right to charge certain fees like convenience fees or others. DIGIMRO also reserves the right to alter fees from time to time. Additional fees will be displayed to the User before collecting payment.

• In cases of short charging of product amount, taxes, fees, due to technical errors or other reasons, DIGIMRO reserves the right to deduct, charge, or claim the balance amount from the User. DIGIMRO may cancel the product if the balance amount is not paid before the delivery date.

• Any increase in price due to change in tax rate or imposition of new taxes by the Government shall be borne by the User as per applicable law.

• If a product is not delivered for any reason, DIGIMRO will process the refund and inform the User. DIGIMRO is not obligated to provide an alternate arrangement or compensation for unconfirmed products.

• The User is responsible for all charges, fees, taxes, and assessments arising from the use of products/services as per applicable laws.

• Payments shall only be made to DIGIMRO's bank accounts. DIGIMRO will not ask the User to transfer money to private or personal accounts. DIGIMRO is not liable if the User transfers money to unauthorized accounts.

• The User will not share personal sensitive information with any person, including DIGIMRO's agents or representatives. The User shall inform DIGIMRO if such details are demanded by anyone. DIGIMRO is not liable for losses incurred due to sharing sensitive information.

• Refunds on cancellation will be processed to the respective account or banking instrument used for payment.

• DIGIMRO will send product confirmation, cancellation, payment confirmation, refund status, or any other relevant information for User transactions via SMS, voice call, email, or other communication details provided by the User during purchase.

• DIGIMRO may contact the User via the mentioned modes for pending or failed transactions, concluding sales, and assisting the User.

• The User consents that such communications by DIGIMRO are upon User request and authorization, are transactional in compliance with local laws, and comply with relevant authority guidelines.

  • in compliance with the relevant guidelines framed by the Telecommunications Regulatory Authority (TRA) or relevant authority in the jurisdiction.

• The User will indemnify DIGIMRO against losses due to action by Telecommunications Regulatory Authority (TRA) or relevant authority, Access Providers, or local authority based on erroneous User complaints about communications mentioned above or due to incorrect contact details provided by the User.

• User has the option to withdraw consent for receiving messages and emails, including marketing communications, by contacting DIGIMRO or amending notification settings.

• In exceptional circumstances, DIGIMRO may be unable to honor confirmed products due to reasons like force majeure events. DIGIMRO will make efforts to provide alternatives or refund after deducting service charges if supported by service provider. DIGIMRO is not responsible for force majeure circumstances and Users should contact the Service Provider for resolutions.

• In case of non-confirmation of products due to technical reasons, DIGIMRO's obligation shall be limited to refunding the paid amount. Additional liabilities shall be borne by the User.

• DIGIMRO is not liable for any damages arising from the use of the Website or any Sales Channel, including direct, indirect, punitive, incidental, or consequential damages.

• The Website may contain links to third-party websites. DIGIMRO is not responsible for third-party website contents and assumes no liability if the User accesses such websites.

• DIGIMRO is not responsible for errors, omissions, or representations on linked websites provided by Service Providers or advertisers.

• DIGIMRO does not endorse advertisers on its website or linked sites. Users should verify information provided on third-party web pages.

• Linked sites are not under DIGIMRO's control, and DIGIMRO is not responsible for linked site contents or changes to linked sites. Links are provided for convenience.

• DIGIMRO reserves the right to not accept any request without assigning any reason at its sole discretion.

• DIGIMRO may limit User activity, suspend or terminate User registration, or refuse access if User breaches this User Agreement or if DIGIMRO cannot verify or authenticate User information or believes User actions may infringe on third-party rights, breach applicable law, or result in liability.

  • DIGIMRO cannot verify or authenticate User information; or

  • DIGIMRO believes User actions may infringe on third-party rights, breach law, or result in liability.

• Suspended or terminated Users must not register or use the Website until reinstated by DIGIMRO. DIGIMRO may reinstate suspended users at its sole discretion.

• In case of User breach, DIGIMRO may recover due amounts and take legal action as necessary.

• Users must not write or communicate content to DIGIMRO that is abusive, threatening, offensive, defamatory, coercive, obscene, vulgar, sexually explicit, pornographic, or objectionable; contrary to law; violates third-party intellectual property rights; spam; or breaches these terms.

• The User must provide correct and valid information to DIGIMRO and not misrepresent facts. Defaulting may disentitle the User from DIGIMRO services.

• If DIGIMRO discovers unauthorized or incorrect information in a User's request, it may take legal action, including product cancellation, without prior intimation. DIGIMRO is not responsible for any loss or damage resulting from such cancellations.

• Users must not hold DIGIMRO responsible for loss or damage resulting from measures taken to safeguard DIGIMRO's interests, including denying or canceling products due to suspected fraud.

• DIGIMRO's employees or authorized representatives will never ask for sensitive information or request fund transfers. Acting on such requests may lead to fraud and loss of money or information.

• Responding to these requests may make you vulnerable to fraud. Report any such requests to care@DIGIMRO.com.

• The User must indemnify DIGIMRO, its affiliates, officers, and directors from losses, liabilities, claims, etc., arising from breach of representation or warranty or non-performance of covenants.

• The User is solely liable for breaches of specific rules or regulations; DIGIMRO is not responsible.

• SEVERABILITY: If any provision of this User Agreement is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision or part of such provision and the remaining part of such provision and all other provisions of this User Agreement shall continue to be in full force and effect.

• AMENDMENT TO THE USER AGREEMENT: DIGIMRO reserves the right to change the User Agreement from time to time. The User is responsible for regularly reviewing the User Agreement.

• CONFIDENTIALITY: Any information specifically mentioned by DIGIMRO as confidential shall be maintained confidentially by the User and shall not be disclosed unless required by law or to serve the purpose of this User Agreement and the obligations of both parties.

• FEEDBACK FROM CUSTOMER: DIGIMRO seeks feedback from Users to improve its services. The User authorizes DIGIMRO to contact them for feedback on services. Mukul Gupta is the designated Grievance Officer. Complaints or concerns can be directed to the Grievance Officer through writing or email.

• PRIVACY POLICY: Users should refer to DIGIMRO's Privacy Policy available on its website, which governs the use of the Websites. By using the Website, the User agrees to the terms of the Privacy Policy and consents to the use of personal information by DIGIMRO and its affiliates as per the Privacy Policy.
